              EVALUATION LICENSE AGREEMENT

This Evaluation License Agreement for the evaluation of PUFsecurity IP product(s) and/or datasheets(s) (“Agreement”) is made and entered into by and between PUFsecurity Corporation (“PUFsecurity”) and you (“Licensee”). By clicking the “Agreed and Submit” button or otherwise indicating acceptance of this Agreement, you are accepting all terms and conditions contained in this Agreement. This Agreement governs the use by Licensee of the PUFsecurity IP product(s) and/or datasheet(s) provided by PUFsecurity under this Agreement (“Evaluation Product”). This Agreement is effective as of the date you receiving an email from PUFsecurity providing a one-time download link to access to the Evaluation Product (“Effective Date”).  

1.	Licensed Rights
1.1.	Subject to the terms and conditions of this Agreement, PUFsecurity hereby grants Licensee a limited, non-exclusive, non-transferable, revocable license to use the Evaluation Product on an “AS IS” basis solely for internal development of the product(s) on a trial basis and internal evaluation and testing of the aforementioned internal development purposes. For the purposes of this Agreement, the product(s) shall mean the product(s) of the Organization filled out in the Evaluation Kit Request Form (“Organization”). 
1.2.	Licensee shall not (a) copy, distribute, display, or transmit the Evaluation Product, in whole or in part, to any third party; (b) extract, decompile, disassemble or otherwise reverse engineer any of the Evaluation Product or make any attempt to unblock or bypass any encryption techniques utilized by the Evaluation Product; or (c) allow any third party to use the one-time download link provided by PUFsecurity to Licensee to access to the Evaluation Product. If Licensee breaches (a) and (c), Licensee shall be jointly and severally liable for any damages caused to PUFsecurity by such third party. 
1.3.	Licensee shall not use the Evaluation Product for any commercial use unless a separate license granted by PUFsecurity, and PUFsecurity received the applicable license fees designated by PUFsecurity. Without PUFsecurity’s prior written consent, the Evaluation Product shall not be used in any mass production or manufacture.

2.	Ownership and Confidentiality
PUFsecurity retains all rights, title and interest in and to the Evaluation Product and/or other intellectual property rights developed by PUFsecurity. Licensee shall (a) treat the Evaluation Product as confidential and shall not disclose the Evaluation Product to any third party; (b) protect the Evaluation Product from unauthorized use; and (c) comply with all laws relating to its use of the Evaluation Product. 

3.	No Warranties and Limitation of Liability
3.1.	PUFSECURITY MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE EVALUATION PRODUCT. THE EVALUATION PRODUCT IS PROVIDED ON AN "AS IS" BASIS AND PUFSECURITY SPECIFICALLY DISCLAIMS ALL WARRANTIES, GUARANTEES AND REPRESENTATIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY, GUARANTEE OR REPRESENTATION AS TO MERCHANTABILITY OR SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. IN NO EVENT WILL PUFSECURITY BE LIABLE TO LICENSEE UNDER ANY LEGAL THEORY FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES ARISING OUT OF THIS AGREEMENT OR THE USE OF THE EVALUATION PRODUCT, EVEN IF PUFSECURITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 
3.2.	THE MAXIMUM LIABILITY OF PUFSECURITY TO LICENSEE IN AGGREGATE FOR ALL CLAIMS MADE AGAINST PUFSECURITY IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE TOTAL OF SUMS PAID BY LICENSEE TO PUFSECURITY UNDER THIS AGREEMENT. 

4.	Termination 
This Agreement will terminate upon PUFsecurity’s notice to Licensee. Upon termination, Licensee shall destroy the Evaluation Product and all portions thereof that is in the possession or control of Licensee. The provisions of Sections1.2, 1.3, 2, 3, 4, 5, and 6 shall survive termination of this Agreement.

5.	Governing law
This Agreement shall be governed by and interpreted in accordance with the laws of Taiwan without regard to applicable conflict of law provisions. Any dispute arising out of or in connection with this Agreement shall be settled by Hsinchu District Court, Taiwan, as the court of first instance, without giving effect to any conflicts of law principles that might refer the governance, construction or interpretation of this Agreement to the law of another jurisdiction.

6.	General
6.1.	Licensee shall not assign or transfer its rights or obligations under this Agreement without the prior written consent of PUFsecurity.
6.2.	This Agreement constitutes the entire agreement and understanding between the parties with respect to its subject matter and shall only be modified or amended by a written document signed by both parties. 
6.3.	In case any provision of this Agreement shall be invalid, illegal or unenforceable, the validity, legality and enforceability of the remainder shall not be affected or impaired thereby.
